Terms of Use

These Terms of Use (“Terms”) establish a legally binding agreement between you ("you" or "your") and Moonbags ("Moonbags", "we", "us", or "our"). They govern your access to and use of the Moonbags Platform and related services (“Moonbags Platform” or “Platform”), whether through the website or other means. Moonbags Services may be offered by Moonbags or its affiliates.

By accessing or using the Moonbags Platform, you acknowledge that you have read, understood, and agree to comply with these Terms, as amended from time to time.

If you do not agree with these Terms in their entirety, you must not use the Moonbags Platform.

1. Risk Disclosure

Digital assets are highly volatile and involve substantial financial risk. By engaging with Moonbags, you confirm that you understand the risks of buying, selling, holding, or investing in digital assets and that these activities may not be suitable for you based on your personal circumstances.

Moonbags does not act as your broker, agent, or fiduciary. We do not provide investment advice, and nothing on the platform should be considered as such. All decisions to transact with digital assets are your sole responsibility.

2. Introduction

2.1. Moonbags provides a platform for creators to deploy tokens and offer them for trading via bonding curve mechanics. Once a token reaches a predefined threshold (e.g., 2,000 SUI market cap), it is automatically listed on Cetus DEX.

2.2. By using the Moonbags Platform, you enter into a binding agreement governed by these Terms.

2.3. It is your responsibility to review and understand these Terms and any referenced documentation.

2.4. You agree to comply with all applicable terms, policies, and conditions related to your use of the Moonbags Platform.

3. Eligibility

3.1. To use Moonbags, you must:

• Have the legal authority to enter into binding contracts;
• Act on behalf of a legal entity (if applicable) with proper authorization;
• Not reside or operate in a jurisdiction where such use is prohibited.

3.2. We may revise eligibility criteria at our discretion. Changes may occur without notice, especially due to regulatory requirements or risk mitigation.

4.2. You agree to pay all applicable fees as incurred during your use of the Moonbags Platform.

4.3. You authorize us to deduct applicable charges directly from your connected Wallet.

4.4. We reserve the right to amend fees in line with Clause 14.4.

4.5. Calculations made by Moonbags in relation to your use of the platform shall be deemed final and binding unless a clear and undeniable error (Manifest Error) is identified.

5. Transactions

5.1. Transactions entered into with malicious intent or affected by a manifest error may be canceled or voided at our discretion, without liability, in accordance with applicable laws.

5.2. We may disclose information about your activity to regulators, affiliates, or third parties as required by law.

5.3. We do not guarantee successful execution or timing of any action on the Platform.

5.4. We may retain transaction records as necessary for compliance and operational purposes.

6. Submission of Instructions

6.1. You are responsible for ensuring the accuracy and completeness of all submitted instructions. We may refuse to process instructions that appear invalid or suspicious.

6.2. Once submitted, instructions are final and cannot be revoked without written consent. Records of instructions on our servers are considered conclusive.

6.3. By submitting instructions, you authorize us to execute the corresponding transactions, including debiting your Wallet if funds are insufficient.

6.4. Communications over the internet may not be secure. You accept the risks associated with submitting information electronically.

7. Platform Access

Your activity on the Moonbags Platform may be subject to limits determined solely by Moonbags, which may be updated at any time without prior notice.

8. Security

8.1. You are responsible for protecting your hardware and data from malware and other threats. Moonbags is not liable for data loss due to your failure to maintain backups.

8.2. You must safeguard your login credentials and never share them or allow unauthorized access during active sessions.

8.3. Monitor your account regularly and report any suspicious activity to us immediately.

8.4. In the event of a suspected breach, you must:

• Notify us promptly;
• Provide ongoing updates;
• Follow our instructions to mitigate the risk.

8.5. We may request relevant information and may share such data with appropriate authorities when investigating a breach.

9. Privacy

9.1. We process your personal data in accordance with our Privacy Policy. By using the Moonbags Platform, you consent to this processing.

9.2. You confirm you have reviewed our Privacy Policy and understand that it may change over time. Updated versions will be provided as needed.

10. Termination, Suspension, and Restrictions

10.1. We may modify, suspend, or permanently disable access to the Platform at any time. Reasons may include (but are not limited to):

• Ineligibility under our Terms
• Fraudulent or unauthorized activity;
• Submission of false or incomplete information
• Legal obligations or court orders;
• Security concerns, regulatory risks, or suspected money laundering;
• Breach of these Terms;
• Technical or operational risk management.

10.2. The examples above are not exhaustive. We may act based on confidential criteria and are not obligated to disclose them.

10.3. Upon suspension or termination:

• Open transactions may be closed by you or us, as applicable;
• Fees may be deducted from your connected Wallet.

10.4. If we suspect you unlawfully possess Digital Assets, we may revoke access to the Platform but will not intervene in asset ownership disputes.

11. Prohibited Use

You may not:

• Violate these Terms or any applicable laws;
• Engage in market manipulation or fraudulent conduct
• Misuse the Platform through unauthorized automation, hacking, or overloading
• Distribute malware or conduct phishing attacks;
• Share or misuse other users' personal data;
• Access the Platform from sanctioned or high-risk jurisdictions;
• Reverse-engineer, tamper with, or commercially exploit Moonbags IP.

12. Representations and Warranties

You represent that:

• Your decisions are made independently based on your financial risk tolerance;
• You have the legal authority to use the Platform;
• Necessary regulatory approvals are in place;
• You hold or have licensed all intellectual property used for token creation;
• You are not in breach of any contract or applicable law by using the Platform.

13. Technology Disclaimer

13.1. The Moonbags Platform is provided "as is" and "as available" without warranties. We do not guarantee uninterrupted or error-free access.

13.2. Maintenance may disrupt access. Processing times are not guaranteed and depend on external factors.

13.3. Content may be outdated or inaccurate, and we make no warranties regarding its accuracy.

13.4. Third-party links are provided for convenience. We do not control or endorse their content.

13.5. You are responsible for ensuring compatible devices and internet access. We are not liable for performance issues resulting from hardware, connectivity, or third-party service interruptions.

14. Liability

14.1. Moonbags and its affiliates are not liable for any losses unless caused solely by willful misconduct or fraud.

14.2. In any case, liability is capped at the total fees you paid for the transaction that gave rise to the claim.

14.3. You waive any claims for injunctive relief or equitable remedies; damages are the sole remedy.

14.4. We are not responsible for:

• Platform interruptions or technical failures;
• Cybersecurity threats or data loss;
• Acts of other users or third parties;
• Delays in transaction processing or service delivery;
• Any indirect, incidental, or consequential damages;
• Losses not brought as legal claims within one year of the event

14.5. You are responsible for using anti-virus and cybersecurity tools to protect your devices and accounts.

15. General Terms

15.1. You must comply with all applicable laws, including those relating to privacy and anti-money laundering.

15.2. We may contact you electronically (e.g., via Telegram or social media). Communications are deemed delivered unless proven otherwise.

15.3. Official announcements will be made via our verified X (formerly Twitter) account. You are responsible for staying informed.

15.4. These Terms represent the full agreement between you and Moonbags. No external representations are binding unless stated here.

15.5. You may not assign your rights without written consent. We may assign our rights without notice.

15.6. If any provision is held invalid, the remainder of the Terms remains enforceable.

15.7. We may record communications for security, compliance, and support purposes.

15.8. Translations are provided for convenience; the English version governs in case of conflict.

15.9. These Terms benefit only the parties and their authorized successors—not third parties.

15.10. Provisions that naturally extend beyond the termination of these Terms shall remain in effect.

15.11. No partnership, agency, or joint venture is created by these Terms.

15.12. We are not liable for non-performance due to Force Majeure Events.

15.13. Our failure to enforce a right does not constitute a waiver.

15.14. We may offset any debts owed to us, and you agree to pay amounts due without deductions unless required by law.

15.15. You must keep any user information obtained through the Platform confidential and use it only as necessary for transactions.

15.16. If you breach these Terms, Moonbags may disclose details of the breach to protect other users, in compliance with applicable laws.

15.17. You are solely responsible for understanding and complying with tax obligations resulting from your use of the Moonbags Platform.

16. Wallets

16.1. Any Wallet provided through the Moonbags mobile app is operated by Privy.io and remains the responsibility of Privy.io and you.

16.2. Moonbags and its affiliates bear no liability for Wallet performance or related losses.
